Yohanorg provides consultancy and technology services including, but not limited to, AI solutions, software engineering, cloud strategy, and digital transformation support.

All services are provided according to agreed scope, timelines, assumptions, and dependencies set out in writing.

4. Client Responsibilities

You agree to:

1. Provide accurate, complete, and timely information.
2. Give necessary access to systems, personnel, and materials.
3. Appoint authorised decision-makers for approvals.
4. Review deliverables and provide feedback in agreed timeframes.
5. Ensure your use of deliverables complies with applicable laws.

Delays caused by missing dependencies, approvals, or information may impact timelines and fees.

5. Fees and Payment
6. Fees are set out in proposals, SoWs, or invoices.
7. Invoices are payable within the stated payment terms (for example, 14 or 30 days).
8. Late payments may incur statutory interest and recovery costs where lawful.
9. Taxes, VAT, and duties are payable as required by law unless stated otherwise.
10. We may suspend services for materially overdue invoices.

    Each party retains ownership of its pre-existing intellectual property, tools, frameworks, and know-how.
13. Project deliverables
    Ownership and licensing of deliverables are defined in the applicable contract or proposal.
    Unless otherwise agreed, Yohanorg retains ownership of underlying methodologies, libraries, and reusable components, granting the client a license to use final deliverables for agreed business purposes.
14. Feedback
    You grant us a non-exclusive, royalty-free right to use feedback to improve our services.
15. Confidentiality

Each party must keep confidential information secure and not disclose it except:

1. To personnel and advisers who need to know and are bound by confidentiality obligations.
2. Where disclosure is required by law or regulation.

Confidentiality obligations survive termination for a reasonable period or as specified in contract.

8. Data Protection

Where we process personal data on your behalf, the parties will comply with applicable data protection law (including UK GDPR/Data Protection Act 2018) and execute a data processing agreement where required.
